Tyler Gilliam is a business and tax lawyer who works closely with domestic and international companies, business owners and individuals to find practical solutions to his client’s legal needs.
Tyler’s experience includes:
- • Representing private equity companies in the formation and operation of dental support organizations (DSO)
- • Representing buyer and seller parties to DSO acquisitions
- • Advising startups on business formation and entity structure planning matters
- • Tax planning for domestic and international companies and individuals
- • Representing buy-side and sell-side parties in mergers and acquisitions
- • Representing clients on securities matters related to private placements
- • Advising clients on franchise matters, including forming franchises and reviewing and drafting Franchise Agreements and Franchise Disclosure Documents (FDDs)
- • Advising athletes and businesses on name, image and likeness (NIL) matters, including forming NIL collectives and structuring NIL contracts
- • Advising business owners involved in LLC and partnership disputes, including derivative actions
- • Drafting and reviewing conservation easements
He received his Master of Laws (LL.M.) in Taxation, with distinction, from Georgetown University Law Center, where he was awarded a full-tuition scholarship as a Graduate Tax Scholar. While in Washington, Tyler also served as a Judicial Extern to the Honorable Albert G. Lauber of the United States Tax Court.
